Welcome to YAAPI Agent, a conversational assistant that operates on your analytics and advertising accounts from instructions you write in plain language. By accessing or using the platform, you agree to be bound by these Terms of Use.

1. Acceptance of terms

By signing in, accessing, or using the YAAPI Agent platform, you agree to be legally bound by these Terms of Use, our Privacy Policy, and any additional terms provided. These Terms also incorporate Google's API Terms of Service and the Google API Services User Data Policy, which govern our use of Google APIs.

2. Description of service

YAAPI Agent is an AI agent that audits, reports on, and — when you grant it write access and approve each change — configures your accounts on the following Google services:

  • Google Analytics (Admin and Data APIs)
  • Google Tag Manager API
  • Google BigQuery API
  • Google Sheets API (read-only, as a data source)
  • Google Ads API

The platform may also connect to non-Google marketing platforms (such as Meta, TikTok, Snapchat, LinkedIn, or HubSpot) where you connect them. The agent's replies are produced by Anthropic's language models: the content of your conversations, including the configuration the agent reads from your accounts on your instruction, is processed by Anthropic to generate those replies, as described in the Privacy Policy.

The service is intended for professional users — digital analysts, marketers, and developers — who work on analytics and advertising configurations at scale. What the platform stores, for how long, and with whom it is shared is stated on the Privacy Policy page, which reflects the running configuration of this deployment.

3. User accounts

  • You sign in with your Google account; you are responsible for keeping that account secure.
  • To use any Google product through the platform, you register a credential from a Google Cloud project of your own — an OAuth client or a service account. You are responsible for that project: for being entitled to create credentials in it, for enabling the APIs you use, for its quotas and any charges Google bills to it, and for keeping the credential confidential. You must not register a credential you are not authorized to use.
  • You agree to provide accurate and up-to-date information.
  • You are responsible for all activities occurring under your account.
  • You must not share your access with unauthorized users.

4. Usage restrictions

You agree not to:

  • Use the platform for any unlawful purpose or in violation of applicable laws or regulations;
  • Interfere with the platform's normal operation, security, or availability;
  • Attempt to reverse engineer, decompile, or extract source code from the platform;
  • Share access with unauthorized users or circumvent access restrictions;
  • Use the platform to access, collect, or process data in violation of Google's policies or the policies of any connected platform;
  • Violate any third-party rights, including intellectual property and privacy rights;
  • Use automated systems (bots, scrapers) to access the platform beyond normal usage;
  • Attempt to gain unauthorized access to any systems, accounts, or networks.

5. Intellectual property

All content, software, documentation, trademarks, and materials provided through the platform are the property of YAAPI or its licensors and are protected by intellectual property laws. You may not use, copy, reproduce, modify, distribute, or create derivative works from any part of the platform without express written authorization from YAAPI.

6. Data and privacy

Your use of the platform is subject to our Privacy Policy. You are responsible for ensuring that any data you process through the service complies with applicable data protection laws, including GDPR, CCPA, and other regional regulations, and that you have the legal rights and consents required to process it.

In particular, if you work on accounts belonging to your own clients, you remain responsible for what you put into your conversations: do not enter data your agreements do not allow you to share with a subprocessor.

7. Google API services usage and compliance

7.1 API integration

The platform integrates with the Google APIs listed in section 2 to provide its service. By using it, you acknowledge and agree that:

  • The agent accesses your Google accounts' data on your behalf, under the permissions you granted, using a credential from your own Google Cloud project;
  • API calls made through that credential are attributed by Google to your project, including its quotas and any usage-based charges (for instance BigQuery), which are yours;
  • You authorize it to perform the operations you request on your properties, containers, datasets, and campaigns;
  • You are responsible for maintaining valid Google authorization;
  • You are responsible for ensuring your use complies with Google's terms and policies.

7.2 Limited Use disclosure

YAAPI Agent's use and transfer to any other app of information received from Google APIs will adhere to the Google API Services User Data Policy, including the Limited Use requirements. Specifically, the platform:

  • Only uses Google user data to provide or improve user-facing features that are prominent in its interface;
  • Transfers Google user data to third parties only as necessary to provide the service you requested — the content of your conversations, including data the agent reads from your accounts on your instruction, is processed by Anthropic to generate the agent's replies — or for security purposes, or to comply with applicable law;
  • Does not use or transfer Google user data for serving advertisements;
  • Does not use or transfer Google user data to determine creditworthiness or for lending purposes;
  • Does not sell Google user data;
  • Does not allow humans to read Google user data, except with your permission, where necessary for security or legal purposes, or where the data has been aggregated and anonymized.

7.3 OAuth scopes

Signing in requests your basic profile (name, email, picture) and nothing else. Each Google product is then connected separately through your own project's OAuth client, and each connection requests only the permissions that product needs — read-only by default, read-write only when you choose it. The permissions requested and the reason for each are listed on the Privacy Policy page, and the permissions actually granted are shown per connection in Settings.

7.4 Data handling

  • Storage — what the platform keeps (conversations, the technical log of API calls, and the action log of every write, with prior values) and for how long is stated on the Privacy Policy page;
  • Writes require your approval — the agent proposes changes and executes them only after you approve;
  • Deletion — you can export or permanently delete your data at any time from Settings;
  • Revocation — you can revoke the platform's access at any time by removing your project credential in Settings, from your Google account, or by deleting the credential in your Google Cloud project, independently of this application.

7.5 User responsibilities

  • Comply with all Google API Terms of Service and policies;
  • Ensure you have the authority to view and modify the accounts you connect;
  • Review and approve configuration changes before execution;
  • Ensure your use of the platform complies with applicable laws and regulations.

7.6 Google as third-party beneficiary

Google is a third-party beneficiary of these Terms regarding the use of Google APIs. Google may enforce these Terms directly against you concerning Google API usage.

8. Service availability

We strive to ensure high availability of the platform but do not guarantee uninterrupted service. Scheduled maintenance, updates, or unexpected outages may occur. We will provide advance notice of planned maintenance when possible.

9. Termination

9.1 Termination by you

You may delete your account at any time from Settings or by contacting us at support@yaapi.net. Upon termination, your data is deleted in accordance with the Privacy Policy.

9.2 Termination by YAAPI

We reserve the right to suspend or terminate your access at any time if you breach these Terms, violate Google's API Terms of Service or User Data Policy, pose a security risk to the platform or other users, if we are required to do so by law, or if we discontinue the service (with reasonable advance notice).

9.3 Effect of termination

Upon termination, your access is revoked, the authorizations the platform holds for you are revoked, and your account data is deleted in accordance with the Privacy Policy. Sections that by their nature should survive termination remain in effect, including liability limitations, indemnification, and dispute resolution.

10. Disclaimer of warranty

The platform is provided "AS IS" and "AS AVAILABLE" without warranties of any kind, either express or implied, including but not limited to warranties of merchantability, fitness for a particular purpose, or non-infringement; that the service will be uninterrupted, error-free, or secure; or regarding the accuracy, reliability, or completeness of results.

The agent's replies are produced by a language model and may contain errors. You acknowledge that you use the platform at your own risk and that you are responsible for reviewing proposed changes before approving them.

11. Limitation of liability

To the maximum extent permitted by law, YAAPI, its officers, directors, employees, and agents shall not be liable for any indirect, incidental, special, consequential, or punitive damages; loss of profits, revenue, data, or business opportunities; damages resulting from unauthorized access to or alteration of your data; damages resulting from errors in your analytics, tag management, or advertising configurations; or damages arising from third-party services (including Google APIs and Anthropic's models).

In no event shall YAAPI's total liability to you for all claims exceed the amount you paid to YAAPI in the twelve (12) months preceding the claim, or $100 USD if you have not made any payments.

The above limitations do not apply to liability that cannot be excluded or limited by law, including liability for death or personal injury caused by negligence, fraud or fraudulent misrepresentation, or willful misconduct.

12. Indemnification

You agree to indemnify, defend, and hold harmless YAAPI, its officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, costs, or expenses (including reasonable attorneys' fees) arising from your use or misuse of the platform; your violation of these Terms, of applicable laws or regulations, or of Google's policies; any unauthorized access to or modification of the accounts you connect; or any claim that your use of the platform infringes third-party rights.

13. Changes to terms

We may update these Terms of Use from time to time. Material changes will be notified via email to registered users, a prominent notice on the platform, or an updated effective date at the top of this page. Your continued use of the platform after changes are posted constitutes acceptance of the revised terms. If you do not agree to the changes, you must discontinue use of the platform.

14. Governing law and dispute resolution

These Terms shall be governed by and construed in accordance with the laws of Canada, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of the platform shall first be addressed through good-faith negotiation, then mediation if negotiation fails, and finally binding arbitration or the courts of Canada if mediation fails.

You agree to resolve disputes with YAAPI on an individual basis and waive any right to participate in class action lawsuits or class-wide arbitration.

15. General provisions

  • Severability — if any provision of these Terms is found invalid, illegal, or unenforceable, the remaining provisions continue in full force; the invalid provision is modified to the minimum extent necessary to make it valid and enforceable.
  • Entire agreement — these Terms, together with the Privacy Policy, constitute the entire agreement between you and YAAPI regarding your use of the platform and supersede all prior agreements, understandings, and communications.
  • Assignment — you may not assign or transfer these Terms or your rights under them without our prior written consent. YAAPI may assign or transfer these Terms without restriction, including in connection with a merger, acquisition, or sale of assets.
  • Waiver — no waiver of any term is a further or continuing waiver of that term or any other; our failure to enforce a right or provision is not a waiver of it.
